Not really. Some older version would accept both while current version
of modutils will insist on /etc/modules.conf.

Not likely but if you will NOT get complaints after that then a version
of modutils in use is clearly too old for a kernel in question.

My strong suspicion would be that "Current Minimal Requirements"
as listed for 2.4.1 are not satisfied, as there is no mention about
that in the original message.
