'Changes' file for 2.4.1 actually says:

  o  modutils               2.4.0

but from practice I know that 2.3.21 is good enough even for 2.4.2. :-)  
It is quite likely that 2.3.9 is not sufficient for 2.4.1 although I do
not know for sure.

You will find current modutils on ftp://ftp.*.kernel.org/
(substitute for '*' your country code, like 'us' in this case).
