To put it simply;
1. setup mgetty to listen for connections from the modem
i.e. listen on ttyS0 (COM1) is that's conencted to modem,
modify /etc/inittab.
2. create a "dial-in" user that has pppd as his/her shell.
- you will need to setup ppp so that it provides an IP, etc..
