  I have had similar problems with Adaptec cards under SCO....  Not too
familiar with the Phoenix CMOS (most of the machines I work on have Award), but
in the Award bios you can activate assignment of PCI irq's based on the bus
slot of the card, and deny certain irq's to PCI by mapping them to the isa
subsystem- playing with these settings on the trouble-making irq/device slot
ususally resolves my problems.  Might be worth a look/try.

  BTW, didn't the net card come with a flash bios disk which lets you configure
such things as the card's irq and address to ROM (like, say, the 3com series
does)???
