Processor overcycling

I have an AMD K62 w32mb RAM...recently upgraded to
RH6.0 and I am noticing that I'm having trouble
telneting into the machine. I discovered that the CPU
is being cycled to death by some UNKNOWN process that
I can't find, and which gets backgrounded? when I look
under TOP.
TOP indicates initially that:
CPU states: 0.0% user, 0.0% system, 0.0% nice,
5.4% idle
Mem: 30888K av, 29560K used, 1328K free, 22448K
shrd, 11820K buff
but then after 2 or 3 seconds that:
39 processes: 38 sleeping, 1 running, 0 zombie, 0
stopped
CPU states: 0.3% user, 0.3% system, 0.0% nice,
99.2% idle
Mem: 30888K av, 29564K used, 1324K free, 22452K
shrd, 11820K buff
Swap: 161272K av, 0K used, 161272K free
A restart will help for the short run, but after a
while, it will continue to get bogged down. I tried
killing processes one at a time but it didn't seem to
help...
Following the telnetting problem I found that giving
NETSTAT from the console will report the following and
that my telnet session from another machine will "wake
up" after being dead if I don't use it in a while
