This is fairly straightforward. Start by configuring your squid server
to allow http and https connections from your RHEL systems to the
outside world. On your proxy server (or anywhere else - it doesn't
really matter), set up a writable nfs export to store the packages.
Now mount your nfs export, configure up2date to go through your squid
proxy server and keep the packages after they've been downloaded. You
may find it handy to look at /etc/sysconfig/rhn - it's a text config
file.
When doing your updates from the clients, use up2date -k <nfs location>.
What basically happens is that the first system that needs a particular
package will download it and keep it on the nfs server. The next system
that needs the package will simply grab it from that location - it still
communicates with RHN through the proxy server to determine which
packages it will need, but it will search your pre-defined locations
first before downloading from RHN.
