For me poweroff has been broken with every 2.6.9 Fedora kernel.
Compiling and installing stock 2.6.10-rc3 got it working again. I am
not using any boot flags other than "rhgb quiet" which I think means I'm
defaulting to "acpi=on apm=off".

This seems to be a generic problem with the 2.6.9 kernel, see
http://bugme.osdl.org/show_bug.cgi?id=3669. The patch linked at that
page for 2.6.9 did not fix the problem for me.

As other posters have commented, "acpi=off" is NOT a solution, since it
disables all the nice power management features for laptops.
