You need the kernel source, including Redhat patches, that exactly matches the 
running kernel.  You get this by downloading from Redhat the kernel-source 
rpm that matches the kernel rpm you use.

uname -r

will tell you your current kernel version.

If you install the kernel-source rpm matching that, you will not have to "put 
that file at /usr/src", installing it like

rpm -i kernel-source-2.4.22-1.2149.nptl

(for example) will place everything in the right directory.  Then you are 
ready to try with vmware again.
