Problem with fresh update of RH9-> FC2 ... net card driver fails

I have recently moved to FC2 from RH9.
The system is dual-boot with WinXP, and had data on the home partition I 
didn't want to lose, so I downloaded the isos to the home partition and 
tried installing from the HD.  This install failed.

I backed up, removed FC2, installed a plain RH9 system, then upgraded 
that system from the HD FC2 isos.

Installation went perfectly, except....... the netcard on the system 
will not activate.

Symptoms:

The system detects the DEC21040 card perfectly.
lspci -v reports the card correctly, installed on IRQ11 with no conflicts.
however, modprobe fails :-(
dmesg reports that modprobe fails becasue either there is a problem with 
the compilation of the tulip drivers, or there are incorrect parameters 
being used somewhere.
The reported path to the driver is correct.  To the best of my knowlegde 
all the required driver files are present.

Anyone have any ideas please?
