You're missing the ramdisk parameter. Here's what one of my domUs looks
like:

kernel = "/boot/vmlinuz-2.6.17-1.2174_FC5xenU"
ramdisk = "/boot/initrd-2.6.17-1.2174_FC5xenU.img"
memory = 96
name = "posty"
root = "/dev/sda1 ro"
disk = [ "phy:vg00/posty,sda1,w","phy:vg00/swap2,sda2,w" ]
vif = [ "mac=00:16:3E:66:94:9C,bridge=xenbr0" ]
cpus = "0-1"
vcpus = 1
extra = "enforcing=0"
on_poweroff = "destroy"
on_reboot   = "restart"
on_crash    = "restart"
