Upgraded via CD? Huh? You did a
rpm -ivh /media/cdrom/RedHat/RPMS/kernelsomething
Did you rebuild the initrd image? You have to do that if you have
/ on an ext3 filesystem. Boot off the old image, then:
# cd /boot
# mkinitrd -f -v initrd-2.6.9-22.EL.img 2.6.9-22.EL
Then try the boot again.

Line above is a dead giveaway you don't have the ext3 module in your
initrd image.
