("Sponsor") is sponsoring the Red Hat Innovation Award 2009 ("Contest"), a skill contest in which participants provide a description of a business problem or project that required an innovative solution to a complex problem using Red Hat, Inc. products (including but not limited to Red Hat Enterprise Linux, JBoss Enterprise Middleware, Red Hat Network, Red Hat Directory Server, Red Hat IPA, Red Hat Training, and Red Hat Consulting). The innovative solution must have been executed to address the problem described by the participant or my at least be in progress. The Contest begins on March 9, 2009 at 12:01 Eastern Time ("ET") and ends on May 31, 2009 at 11:59 p.m. ET ("Term"). VOID WHERE PROHIBITED.

To be eligible to enter the Contest, you must be (1) a Red Hat business partner, customer or user of Red Hat, Inc. products; (2) a legal resident of South Korea, France, Canada (excluding the Province of Quebec), China, Japan, Germany, Mexico, Switzerland, Australia, New Zealand, United Kingdom, Spain, India, Argentina, Austria, Singapore, Ireland, Netherlands, Taiwan, or the United States; and (3) above the age of majority in your country, province, and/or state of legal residence at the time of entry or at least twenty years of age in Taiwan. You must also have access to the Internet and a valid email address to enter the Contest. Employees, officers, and directors of Sponsor, its subsidiaries and affiliated companies, and their immediate families and those living in their households are not eligible to enter.
If you are acting within the scope of your employment, as an employee, contractor, or agent of another party, you warrant that such party has full knowledge of your actions and has consented thereto, including your potential receipt of a prize. You further warrant that your employer has no claim to or right of ownership in any work product created as part of the Contest and that your actions do not violate your employer's or company's policies and procedures. If you are under an agreement with your employer that grants your employer ownership rights in the materials you submit to Sponsor, you are not eligible to enter. Government employees and government contractors are not eligible to enter.

Hereinafter, these six categories will be collectively referred to as "Categories" or individually referred to as "Category". After choosing the Category, you must provide a detailed explanation on how you implemented an innovative solution utilizing the Red Hat family of products ("Entry") within that Category.
For your entry to be considered eligible, you must complete and submit your entry during the Term. All entries must be submitted in English. Entries that are in any other language will not be considered. LIMIT ONE (1) ENTRY PER PERSON PER CATEGORY. You may, however, submit one (1) entry responding to the question for each Category. Subsequent entries will be disqualified. All entries become the property of Sponsor. They will not be returned or acknowledged. Entries are void if they are in whole or part illegible, incomplete, damaged, altered, counterfeit, manipulated, obtained through fraud, lost, late, misdirected, mutilated, incomplete, illegible, submitted in a format other than in the entry form, or for any computer related, online, telephonic, or technical malfunctions that may occur whether or not within Sponsor's control.
You agree that your personal data that is provided to Red Hat during the Contest, including your name, mailing address, phone number, and email address, may be processed, stored, and otherwise used for the purposes and within the context of the Contest. The collection, use, and disclosure of your personal information will at all times be governed by our privacy policy, available at: www.redhat.com/legal/privacy_statement.html. This data will also be transferred into the United States. By entering, you agree to the transmission, processing, and storage of this personal data in the United States.

Red Hat, Inc., located at 1801 Varsity Drive, Raleigh, North Carolina, 27606, USA, is the Sponsor of the Contest ("Sponsor" or "Red Hat").
Eleven (11) potential winners ("Potential Winners") will be selected based on one (1) round of judging, called the "Grand Prize Round" of judging. The Grand Prize Round of judging will take place beginning on June 1, 2009 and ending on June 30, 2009. The entries will be judged by a panel of experts in the field of business and open source technology ("Judges"). The Judges will evaluate each entry based on the following criteria:
Using these criteria, the Judges will select the Potential Winners from each of the six (6) Categories. Five (5) of the Categories will each recognize two (2) Potential Winners, one submission that employs creativity or innovation in use of Red Hat technology and one that employs creativity or innovation in use of JBoss technology. The sixth Category, for Outstanding Open Source Architecture, will recognize one (1) Potential Winner who is deploying BOTH Red Hat AND JBoss solutions. There will be a total of eleven (11) Potential Winners from the six (6) Categories. The decisions of the Judges are final with respect to all aspects of the Contest.
In the event of a tie, the entry that received the highest score from the Judges in the category of "Identifiable Improvements to the Business" will be selected as a Potential Winner from that Category. The Potential Winners will be notified by e-mail that they had one of the highest scores in the Contest on or about July 1, 2009. The Potential Winner will have seven days to respond to the e-mail notification. If the e-mail notification is returned as undeliverable, rejected or ignored, the Potential Winner will be disqualified and an alternate Potential Winner will be selected based on the criteria for the selection of the Potential Winners described herein.
Before receiving the Grand Prize, the Potential Winner must complete the Affidavit of Eligibility, Release of Liability and/or Publicity Release ("Prize Documents"), where lawful. The Prize Documents must be properly executed by the Potential Winner and returned within seven (7) days of attempted notification as a condition of receipt of the Grand Prize. If the Sponsor does not receive the Prize Documents within seven (7) days, Sponsor may, in its sole discretion, select another potential winner from the remaining eligible entries.
By agreeing to accept the Grand Prize, described below, each Potential Winner agrees to collaborate with Sponsor to create a customer success story based on the Potential Winner's entry. The completed customer success stories will then be posted on line at www.redhat.com/summit to be judged in a bonus round ("Bonus Round") of judging, described below. In the Bonus Round, two (2) customer success stories will be selected via online voting at www.redhat.com/summit. One of the selected stories will reflect innovation with the Red Hat, Inc. suite of products and the other will reflect innovation specific to the JBoss suite of products. The Winners in the Bonus Round will be named the 2009 "Red Hat Innovator of the Year" and the 2009 "JBoss Innovator of the Year" respectively. No other prizes will be awarded in the Bonus Round.
Bonus Round. The Bonus Round will take place from August 3, 2009 (at 12:01 a.m. ET ) to September 3, 2009 (at 11:59 p.m. ET). The Bonus Round will be held among the Potential Winners described above. The Sponsor will create a customer success story from each of the Potential Winner's entries and will post the success story at www.redhat.com/summit. The success story will then be voted on by the public in two different categories. One category will consider innovation using Red Hat technology and the second category will consider innovation using Jboss technology. To be declared a "winner" during the Bonus Round, the success story must receive the most votes in its category. Each voter will be entitled to one electronic vote per entry in each category. Any subsequent votes by the same voter will be disqualified. In the Bonus Round, each entry will be evaluated by the voters considering the following criteria:
The customer success stories that receive the highest overall score in their category will be selected as the potential "Red Hat Innovator of the Year" and "JBoss Innovator of the Year." In case there is a tie in either category, the customer success story that receives the highest score from the voters in item number six (6) of the voting criteria "Was Entry Articulate and Concise" will be selected as the potential 2009 "Red Hat Innovator of the Year" or 2009 "JBoss Innovator of the Year." The "Red Hat Innovator of the Year" and "JBoss Innovator of the Year" will be selected and notified on or about September 4, 2009 and announced at an awards ceremony at the Red Hat Summit and JBoss World in Chicago, Illinois. The Bonus Round "winners" do not have to be present at the Red Hat Summit or JBoss World in Chicago in order to receive the title as the "Red Hat Innovator of the Year" or "JBoss Innovator of the Year."
Sponsor will award eleven (11) Grand Prizes, which shall consist of complimentary admission to the 2009 Red Hat Summit and JBoss World in Chicago, Illinois ("Grand Prize"). Grand Prize does not include travel to or from the event, non-conference meals, or lodging at or during the 2009 Red Hat Summit and JBoss World. Grand Prize does include access to all Red Hat Summit and JBoss World sessions, conference meals, and special events, (ii) an invitation to a VIP Executive dinner with Red Hat executives, keynote speakers, and other honored guests, (iii) Innovation Award presentation with a profile of your company at the Red Hat Summit and JBoss World general session, (iv) opportunity to highlight accomplishments of you and your team and receive recognition by your peers for being an innovator and a leader in your field. If the Grand Prize winner has already paid for his/her Red Hat Summit registration, Red Hat will reimburse him/her up to the Approximate Retail Value ("ARV"), which shall not be greater than $1,195.00 USD.

The participants selected as the "Bonus Round Winners" will not receive a prize of monetary value. Instead, they may call themselves the 2009 "Red Hat Innovator of the Year" and 2009 "JBoss Innovator of the Year" based on their selection.
The winners are responsible for any other expenses, including cost to travel to and from the Red Hat Summit, and any other expenses not expressly stated above, including but not limited to, hotel accommodations, ground transportation, passenger tariffs or duties, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses, which are the responsibility solely of the winner. Grand Prize winners are also solely responsible for obtaining any Visa or travel documents necessary to travel into the United States. No prize is redeemable for cash. No prize substitution, cash substitution, or assignment or transfer of any of the prizes is permitted, except by Sponsor for reason of unavailability, in which case a prize of equal or greater value will be awarded. The prize consists of only those items specifically listed as part of the prize. Prizes are awarded without warranty of any kind from Sponsor, express or implied, without limitation, except where this would be contrary to federal, state, provincial, or local laws or regulations. All taxes, costs, and fees associated with the Grand Prize are the sole responsibility of the winners. LIMIT ONE GRAND PRIZE PER PERSON. Odds of winning depend on the number of eligible Entries received and the skill of the entrants.
By entering the Contest, you agree to be bound by the terms of these Official Rules and you confirm that you meet all eligibility requirements listed herein. You agree that all federal, state, provincial and local laws and regulations apply. By registering for the Contest, you agree that these Official Rules and the decisions of Sponsor are final and binding on all matters pertaining to this Contest.
Acceptance of the prize constitutes permission for, and winners consent to, Sponsor and its agencies to use the winning Entries and the names and/or likenesses for advertising and promotional purposes, in any media now known or hereafter devised, without further notice, compensation, consideration, review, or consent, and without regard to moral rights, unless prohibited by law. To the extent permitted by law, all registered participants of the Contest agree to hold Sponsor, its respective directors, officers, employees and assigns harmless for any injury or damage caused or claimed to be caused by participation in the Contest and/or use or acceptance of any prize. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Contest, or in the announcement of the prize. If, in Sponsors' opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if technical difficulties compromise the integrity of the Contest, the Sponsor reserves the right in its sole discretion, to cancel, terminate, modify or suspend the Contest. Any attempt to deliberately damage the content or operation of this Contest is unlawful and subject to legal action by Sponsor or its agents. You may be prohibited from participating in this Contest if Sponsor, in its sole discretion, reasonably believes that you have attempted to undermine the legitimate operation of the Contest by cheating, deception, or other unfair playing practices, or annoys, abuses, threatens, or harasses any other participants, Sponsor, or associated agencies. In the event a potential winner's employer has a policy that prohibits the awarding of a prize to an employee, the prize will be forfeited and an alternate winner will be selected.
By registering for the Contest, you warrant and represent that you are the sole author and creator of the entry, that your entry does not violate any applicable law, and that you have no reason to believe that your entry infringes or violate any intellectual property right held by any third person. You further agree to indemnify and hold harmless Red Hat, its agents, representatives and promotional partners, in the event of a breach of this warranty.
As a condition of entry, entrant grants Sponsor and its licensees an irrevocable, royalty-free, and non-exclusive license, for the duration of protection of the rights, to use, reproduce, distribute, translate, publicly perform, publicly display and create a derivative work from (and in the case of Canadian residents, waives all moral rights in) the essay that participant submits when entering this Contest. Entrants also agree to allow Red Hat to publish his or her name in correlation with the essay. Further, entrants who are residents of People's Republic of China grant Sponsor the right to make their essay public. In addition, before being declared a winner, each French potential winner must sign an assignment of copyright. All entrants agree to execute any further documents as necessary to effect the preceding license.
By participating, entrants and winners release Sponsor, its affiliates, parent, and subsidiary companies, its employees, agents and officers, advertising and promotion agencies, licensees, as well as all others associated with the development and execution of this Contest, from and against any and all liability with respect to or in any way arising from the Contest and the awarding and use of the prize, or in connection with the use, modification, or publication of the essay submitted by the entrant. Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission; communications line failure; theft or destruction of or unauthorized access to Contest entries or entry forms; or alteration of entries or entry forms.
This Contest is subject to all United States federal, state and local laws. This Contest and Official Rules are governed and interpreted by the laws of the State of North Carolina, without regard to its conflict of law provisions.
The Official Rules, the names of the winners and the success stories created by the Sponsor will be posted online at www.redhat.com/summit on or about July 15, 2009.
